Public Offer for Providing a Charitable Endowment

This offer is addressed to an indefinite number of individuals and legal entities (hereinafter referred to as "the Benefactor") being visitors and registered users of Ukrainian Charitable Fund "Social Partnership" website, in the Internet: socpartnerstvo.org (hereinafter referred to as the Website). It is an official and public offering of Ukrainian Charitable Fund "Social Partnership", hereinafter referred to as "the Fund" represented by its President Polishchuk Elena Nikolaevna, acting under the Articles of Association, to enter into a charitable endowment contract (hereinafter referred to as the Contract), which scope and essentials are specified as follows:

1. Terms and Definitions:

The Public Offer shall mean a valid offer of the Fund posted on the Site on provision of a charitable endowment addressed to the general public including the Benefactor.

Acceptance shall mean a complete and unconditional acceptance of the Public Offer by taking actions to implement some money transfer using payment forms and means posted on the Site, as well as by transferring funds to the current account of the Fund via banks establishments. The moment of acceptance shall be the date of the funds crediting to the current account of the Fund.

Charitable endowment shall mean the Benefactor's gratuitous transfer of means to achieve certain pre-specified purposes of the charitable activities according to the Contract and the Law of Ukraine "On Charity and Charitable Organizations".

2. Scope of the Contract:

The scope hereof shall the Benefactor's gratuitous transfer of funds in favour of the Fund for the implementation of the charter activities of the Fund, including the provision of charitable assistance to vulnerable social groups.

Benefactor shall independently determine the amount of its charitable endowment.

The information on the Benefactor's endowments will be transferred to statistics program Google Analytics.

3. The Offer Acceptance shall mean that the Benefactor agrees with all the provisions. It is fully aware of the Scope of the Contract and purpose of the public fundraising.

4. On the basis of Article 207, Part 2, Article 639, Article 641, 642 of the Civil Code of Ukraine, Article 7 of the Law of Ukraine "On Charity and Charitable Organizations" the Benefactor and the Fund agree that the Contract shall be deemed concluded in writing as of the moment of Acceptance. Herewith, the Parties agree that the parties' failure to comply with the written form of the transaction shall not entail its invalidity.

5. Rights and Obligations of the Fund:

5.1. The Fund shall be entitled to:

- Receive endowments and use them according to the purposes hereof;

- Change the endowments use directions in coordination with the Benefactor.

5.2. The Fund shall be obliged to:

- Post annual electronic reports on the endowments use on the Website;

- Return funds to the Benefactor upon its written application if the endowments have been used contrary to the purposes hereof.

6. The Benefactor's Rights shall be as follows:

- To supervise the use of the charitable endowment;

- According to the procedure provided for by the legislation, to change the beneficiaries of the charitable endowment in case of violation of the purposes, terms and procedure for the usage of such an endowment or a part thereof.

7. Venue of the Public Fundraising:

The public fundraising shall be held on the territory of any country in the world. The direct activities of the Fund relating to the public fundraising here-under shall be carried out according to the Fund location.

8. The e-mail specified by the Benefactor during endowment will be used for registration of the Benefactor as the Website member.

The information on the Benefactor's endowments will be displayed in the Benefactor's public profile on the Website, in the history of the Benefactor's endowments and in the card of each project supported by the Benefactor. The Benefactor can disable displaying of this information on the specified Website pages by activating "Hide my endowments" tick in its account (the endowments will be on behalf of an "Anonymous").

9. Fundraising Term:

The public fundraising shall last until the Fund liquidation, unless otherwise will be determined by the Fund.

10. Procedure for Charitable Endowments Usage:

Usage of the endowments collected here-under shall be carried out according to the Fund purposes. The endowments received by the Fund may be returned to the Benefactor only in the cases stipulated by the applicable legislation of Ukraine.

11. The Benefactor or its authorized persons shall be entitled to supervise the proper use of any charitable endowment, including in favor of third parties.

12. The change of the purpose and procedure of usage of any charitable endowment shall be possible with the consent of the Benefactor or its successors as well as on the basis of a court decision or in other cases specified by the applicable law.

13. Procedure for Public Access to the Financial Statements of the Fund:

The access to the financial statements of the Fund shall be carried out by their annual posting in electronic format by the Fund on the Website.

Other information shall be submitted by the Fund pursuant to the procedure and within the time limit as provided by the applicable legislation of Ukraine.

14. All the expenses to pay the amounts associated with the endowment transfer shall be borne by the Benefactor.

15. Through the Acceptance, the Benefactor confirms that it has read and understood and agreed with the terms of Annex No. 1 hereto concerning collection and processing of its personal data.

16. The Benefactor agrees that after the registration on the Website the Fund may send letters and messages, including advertising ones, to the Benefactor's e-mail.

CONSENT

to Processing of the Personal Data

Through the Acceptance of the public offer on provision of a charitable endowment posted on the Website of UCF "Social Partnership" on the Internet: socpartnerstvo.org according to Law of Ukraine "On Personal Data Protection" as June 1, 2010, № 2297-VI, I consent to UCF "Social Partnership" (hereinafter referred to as the Fund) to process and use, in the Procedure established by the Fund, my personal data (name of the database: "Database "Partners"") to implement relations in the field of charitable activities, attraction of individuals to the Charity according to the Articles of Association of the Fund and the applicable legislation of Ukraine to the extent necessary to implement the specified purpose concerning the personal data processing.

Moreover, I consent that my personal data can be transmitted / distributed / disclosed (including for their further processing and usage) to third parties in connection with the implementation of the competence in the field of charitable activities between me and the Fund.

Besides, I agree that third parties may obtain access to my personal data upon their request if the specified parties oblige to comply with the requirements of the Law of Ukraine "On Personal Data Protection" in the procedure prescribed by Article 16 of the Law of Ukraine "On Personal Data Protection".

Should any changes to my personal data occur, I oblige to provide UCF "Social Partnership" with the updated information as soon as practicable and submit the originals of the relevant documents to enter my new personal data into the database of the partners' personal data.

Through the Acceptance of the public offer on provision of a charitable endowment posted on the Website of UCF "Social Partnership" on the Internet: socpartnerstvo.org, I confirm that I have received a message on entering my personal data into the database of personal data (name of the database: "Database "Partners"") to implement relations in the field of charitable activities, attraction of individuals to the Charity according to the Articles of Association of the Fund and the applicable legislation of Ukraine as well as information on my rights specified in the Law of Ukraine "On Personal Data Protection" and on third parties, to whom my data are transferred to perform the specified purpose in compliance with the Law of Ukraine "On Personal Data Protection".

NOTIFICATION

on Entering Personal Data into the Database of the Personal Data

UCF "Social Partnership" reports that the personal data provided by you have been included into the database of the partners' personal data to implement relations in the field of charitable activities, attraction of individuals to the Charity according to the Articles of Association of the organisation and the applicable legislation of Ukraine. According to Article 8 of the Law of Ukraine "On Personal Data Protection", an entity of the personal data shall be entitled to:

1) know the location of the database containing your personal data, its purpose as well as the name and location of its owner or manager;

2) obtain information on the conditions for granting access to the personal data, including information on the third parties, to whom the personal data contained in the database of personal data are transferred;

3) have access to their own personal data contained in the relevant database of personal data;

4) no later than 30 calendar days upon the request receipt, except as otherwise provided by the law, receive a response whether the personal data are stored in the corresponding database of personal data as well as receive the content of the stored personal data;

5) present a reasoned request with objection against processing of their personal data by public authorities, local governments in exercising their powers provided by the law;

6) present a reasoned request for modification or destruction of their personal data by any owner and manager of the database if these data are processed illegally or are unreliable;

7) protect their personal data against unlawful processing and accidental loss, destruction, damage due to deliberate withholding, failure to submit or untimely submitting of them as well as protect against the information being unreliable or discrediting the honour, dignity and business reputation of the individual;

8) apply for the matters of protection of their rights, personal data to state authorities, local authorities that are obliged to protect personal data;

9) apply legal remedies in case of violation of the legislation on the protection of personal data.

We hereby inform you that according to Article 2 of the Law of Ukraine "On Personal Data Protection", processing of personal data means any action or cumulative actions having been carried out either totally or partially in the information (automated) system and / or in personal data card files that are associated with the collection, registration, accumulation, storage, adaptation, change, update, use and distribution (distribution, disposal, transfer), depersonalization, destruction of information on any individual.
